1. Agreement to Terms

By accessing or using Rekall ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms.

2. Description of Service

Rekall is an AI-powered coding assistant that helps developers with software development tasks. The Service includes:

  • AI-assisted code generation and modification
  • File management and code editing capabilities
  • Multiple specialized modes for different development tasks
  • Integration with local AI models via Ollama
  • Task management and context memory features

3. Subscription and Payment

3.1 Subscription Plans

We offer monthly and yearly subscription plans. The prices for these plans are displayed on our pricing page. All prices are in US Dollars (USD) unless otherwise specified.

3.2 Billing

By subscribing to the Service, you agree to pay the applicable subscription fees. Payment is processed securely through Paddle, our payment processor.

  • Monthly subscriptions are billed on a monthly basis on the same date each month
  • Yearly subscriptions are billed annually on the anniversary of your subscription date

3.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

3.4 Price Changes

We may change our subscription prices at any time. Price changes will be communicated via email at least 30 days before they take effect. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

Early Adopter Lock-In: Customers who subscribe during our early adopter period will have their rate locked in for the lifetime of their subscription, provided they maintain continuous active subscription status.

4. License Grant

Upon purchase, you are granted a non-exclusive, non-transferable license to use Rekall subject to these Terms:

  • You may install and use Rekall on multiple personal devices
  • The license is tied to a single individual or entity
  • You may not share, sell, or transfer your license key to others
  • You may not reverse engineer, decompile, or create derivative works

5. Acceptable Use

You agree not to use the Service:

  • For any unlawful purpose or in violation of any laws
  • To generate malicious code, malware, or harmful software
  • To infringe upon the intellectual property rights of others
  • To generate spam, harassment, or abusive content
  • In a way that could damage, disable, or impair the Service
  • For any purpose that violates OpenAI's usage policies (when using cloud models)

6. Intellectual Property

Rekall and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of all code and content you create using Rekall. We do not claim any rights over your generated code.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • The results obtained from the Service will be accurate or reliable
  • Code generated by the Service will be free of bugs or security vulnerabilities
  • The Service will meet all your requirements

8. Limitation of Liability

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, obligations, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Code you generate using the Service

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

  • Your right to use the Service will cease immediately
  • No refunds will be provided for partial subscription periods
  • Provisions that by their nature should survive shall remain in effect

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law provisions.
